Requirements for OPC Formation

To incorporate an OPC various documents like ID proof, address proof along with a passport size photo are required. Further an NOC is mandatory with lease/rent agreement. etc.

OPC structure is similar to the sole proprietorship but without the drawbacks which are usually faced by the sole proprietors. Unlike sole proprietorship, OPC required to register as per the provisions of the Companies Act, 2013. To form the One Person Company you are required to file some of the documents with MCA (Ministry of Corporate Affairs).

Minimum Requirement

  • Must have one shareholder who is an Indian citizen and resident of India
  • Must have one nominee who is also  an Indian citizen and resident of India
  • Must have one director (one shareholder himself can consider as a deemed director)
  • Minimum share capital shall be Rs.1,00,000
  • Registered office in India
  • DSC (Digital Signature Certificate) obtained by the sole owner
  • DIN (Director Identification Number) of the director
