Requirements for Private Limited Company Formation

At least 2 Directors and 2 shareholders are required to form a Private Limited Company. A person can be a Director as well as the shareholder of the company and a physical property is also required which can be owned or rented by the Director of the Company.

To formulate a Private Limited Company, A Chartered Accountant, Company Secretary or a Lawyer is required to do the filings for the formation of Private Limited Company. Ministry of Corporates Affairs deals with all the filings procedures. 

Minimum Requirement

  • Minimum 2 people are required to form a Private Limited Company. One should be the Resident of India
  • Registered office located in India
  • Digital Signatures are required of the shareholders as well as the Directors
  • Director Identification number (DIN) of Directors will be created at the time of incorporation. Which will valid for the lifetime of the Directors
  • Every shareholder should at least have one share of the company and capital contribution is required at the time of incorporation

  • Max 6 names can be given on priority basis to apply in MCA

  • Significance of the proposed names also required in the Form

 Incorporation document, subscriber’s statement, MOA & AOA.

  • Incorporation documents that are duly made incorporators and attested by the incorporating parties.

Registered Office Address

  • Utility Bill(Gas Bill, Electricity Bill, Mobile Bill & Telephone bill. Anyone form the 4)

  • Proof of property (Rent agreement, if  case of rented property. If the property is owned than House Tax Receipt or Ownership deed)

  • NOC (No Objection Certificate) is required to be signed by the Owner of the Property
