Introduction Form MGT-14 is an e-form that is mandatory to be filed by a Public Company. This form contains all the Resolutions with the RoC (Registrar of Companies), which are passed at Board Meetings by the Shareholders and Directors. It is important to note that Form MG-14 is applicable only to Public Companies, and Private Companies are exempted from filing the same. There are a lot of Resolutions that the Directors, Shareholders, and Creditors pass during the Board Meetings. In order to protect the interests of the Company and its Shareholders & Creditors, the Registrar of Companies needs to be kept abreast of all the Resolutions that the company passes. The company needs to file Form MGT-14 within 30 days of the resolution being passed or entered into the agreement.

Under the Table of ‘Compliance Related Filing’, click on the links against ‘Filing of Resolutions and Agreements to the Registrar’ to download the Forms with instructions kit or without instructions kit. 4. Your device shall download a Zip file containing the Form MGT-14, with Instruction Kit (if selected).

The applicant is required to Login into his MCA account by using his credentials. 3. For the next step, the applicant is required to click on the link of ‘Upload E-Forms’. 4. The applicant is then required to click on ‘Normal Forms’ and click on ‘Browse’ to upload Form MGT-14. 5. Once the form is uploaded, the applicant will receive a generated SRN Number (Service Request Number). The applicant must save this SRN number to make the payment of the fees for form MGT-14. 6. Finally, shall process the form submitted after paying the prescribed form fees.
Non-Compliance
Failure to file Form MGT-14 is liable to strict punishment. Suppose a company has not filed the form MGT-14 with the Registrar of Companies (RoC) within a period of thirty (30) days after it has been passed. In that case, the company will be subjected to a fine of INR 1,00,000 (One Lakh Rupees) and INR 500 (Five Hundred Rupees) for every subsequent day.
